This Master Subscription Agreement (“Agreement”) governs access to and use of the services provided by Expert Hire or its affiliates (“Expert Hire”, “we”, “us”), and is entered into by the customer accepting this Agreement (“Customer”).
The individual accepting this Agreement represents that they have full authority to bind Customer to this Agreement.
This Agreement begins upon acceptance and continues until all Service Orders expire or are terminated. Service Orders are non-cancellable except as expressly stated.
Expert Hire grants Customer a limited, non-exclusive right to access and use the Services for internal business purposes, subject to this Agreement.
AI Features are provided solely as decision-support tools. Expert Hire does not make automated hiring or employment decisions. Customer is solely responsible for all hiring decisions, human review, and legal compliance.
Customer acknowledges AI outputs may be inaccurate and must be validated independently before use.
Fees are payable as specified in the Service Order. All fees are non-refundable unless expressly stated. Monthly and annual billing may apply depending on plan selection.
Expert Hire implements reasonable technical and organizational safeguards. Personal data processing is governed by the Data Processing Addendum.
Customer retains ownership of Customer Data. Expert Hire retains ownership of the Services, platform, AI models, and Usage Data.
Each party agrees to protect the other's Confidential Information using reasonable care and only use it as permitted under this Agreement.
Services are provided “as is”. Expert Hire disclaims all warranties except as expressly stated.
Each party will indemnify the other for claims arising from its breach of this Agreement or applicable law.
To the maximum extent permitted by law, Expert Hire's total liability will not exceed the fees paid by Customer in the twelve months preceding the claim.
Either party may terminate for material breach not cured within thirty days. Upon termination, access to Services will cease.
This Agreement is governed by the laws of the State of California, without regard to conflict of laws principles.
